Introduction, Appendices and Headings 1.1. The preamble to this Agreement is an integral part of it. 1.2. Duties, Powers and Obligations of the Employee 2.1. The employee undertakes to report to his supervisors on an ongoing basis about the conduct of the work, to report immediately and without delay any unusual event. 2.17. The employee undertakes to convey to his managers without delay any complaint of a supplier or customer. 3. Term of the Agreement 3.1. This Agreement is an agreement for an indefinite period. This Agreement shall commence on ____________ (hereinafter: the "Commencement Date"). 3.2. Each party shall be entitled to terminate this Agreement, for any reason, by giving prior written notice to the other party in accordance with the law. The Company will be entitled to redeem all or part of the Advance Notice by paying wages to the employee in lieu of giving advance notice. Notwithstanding the above, during the first three months of employment (the "Probationary Period"), the Company and the Employee will be entitled to cancel the Employment Agreement with prior written notice. 3.3. If the employment relationship between the Company and the Employee has ended, for any reason whatsoever, the Employee undertakes to transfer his position in the Company to his replacement in an orderly manner and in accordance with the Company's instructions. 3.4. The Company may initiate forced vacations throughout the year in accordance with its needs, it is clarified that for forced vacations of up to one week, at least two days' advance notice will be given, and for forced vacations exceeding one week, at least two weeks' advance notice will be given. 6.1.5. It is agreed that in the first 3 months of his employment, the employee will receive 3% from the first sale - gross. תאום פגישות– על כל הגעה של פגישה שתואמה מהתחלה עי הנציג ולא "תיאום מחדש" (פגישה = ליד שתואם ולא משנה כמה נוכחו בפגישה) בונוס 40 שח' ברוטו, על כל פגישה שנסגרה (קרי רכשה סדרת טיפולים) הבונוס הוא 110 שח' ברוטו. הבונוס של הפגישה שנסגרה יהיה במקום הפגישה שתואמה, אין כפל בונוס – מינימום 5 פגישות בחודש. היעדים הנ"ל כמו"כ' הבונוסים יכולים להשתנות מעת לעת ככל והחברה תשנה אותם תודיע לעובד קודם השינוי והם ייכנסו לתוקף מיד בחודש העוקב מרגע מסירת המודעה. 8.1. מענק היעדר תחרות – מוסכם שככל ויקבל העובד בונוס היעדר תחרות הוא מודע שבונוס זה ניתן לעובד שלא יתחרה או יעבוד אצל מתחרה של החברה לטווח של 12 חודשים מסיום עבודתו ככל ויפה סעיף זה יחזיר את המענק חזרה. 8.2. מענק התמדה – מוסכם כי היה וישלים העובד שלוש שנים של עבודה בהיקף משרה מלאה אצל המעביד, יהיה זכאי העובד למענק התמדה בגובה של 6000 שח ברוטו, תשלום המענק יינתן או במפרעה חודשית או בבונוסים שיקראו "מענק התמדה" במהלך התקופה. יובהר כי ככל והעובד לא ישלים שלוש שנים של עבודה אצל המעביד בהיקף משרה מלאה יוכל המעסיק לקזז את תשלומי המענק ששולמו לעובד כמפרעה משכרו האחרון, ככל והמעסיק ישלם יותר מהסכום הנ"ל (6000 שח) ויוגדר כמענק התמדה, הוא יוגדר לפי התנאים המפורטים בסעיף זה. 8.3. למען הסר ספק, החברה רשאית לשנות את תנאי היעדים המופיעים בסעיפים 8 לעיל מעת לעת ו/או לבטלם והכל בהתאם לשיקול דעתה המוחלט, כמו כן יובהר כי התשלומים המשולמים לעובד מכוח סעיפים 8 הינם תשלומים תלויי יעדים ואינם תשלומים קבועים ומשכך לא יהיו בגין תשלומים אלו הפרשות סוציאליות (לגמל ולפיצויים) וכן לימי חופשה וימי מחלה, ככל והמעסיק יחליט להפריש הפרשות סוציאליות /ימי חופשה/מחלה גם על רכיבים אלו או על חלקם זה יחשב כהטבה שיכולה להינתן או להיפסק (במידה וניתנה)בכפוף להחלטת המעסיק בלבד. 9. Confidentiality 9.1. The Employee undertakes to maintain complete confidentiality with respect to any information as defined above and/or knowledge and/or confidential information and/or any other valuable information of the Company and/or of any third party, which is in contact with the Company, and which came into the Employee's hands as a result of his relations with the Company (hereinafter, the "Additional Information"). 9.3. The Employee hereby confirms that all the information as aforesaid is the exclusive property of the Company and that it does not and will not have any claims of any kind, in respect of them or deriving from them. 9.4. The Employee undertakes not to make any use of the information and/or the additional information in any way, either during the period of the Agreement or at any time thereafter, whether by himself or through any other means, directly or indirectly, and not to transfer it to any person and/or corporation, for any purpose whatsoever, whether for consideration or not, unless he has received explicit written consent from the Company. 9.5. For the avoidance of doubt, the provisions of this clause will apply during and after the term of the Agreement, indefinitely. 9.6. Any information that was owned by the employee prior to the date of commencement of employment at the Company and/or any information that reached the employee by a third party without a breach of the duty of confidentiality on the part of the employee, shall not be considered a breach of the duty of confidentiality. 10. Non-Competition and Intellectual Property Rights 10.1. The employee undertakes not to compete with the Company's business and/or the Company's customers in the Company's field of business, directly or indirectly, by himself and/or through others, whether as a self-employed person or as an employee, including by partnership or holding himself or through others, shares or management rights in any corporations, in the course of his work at Ida's home. 10.2. The Employee undertakes not to harm the Company's reputation and/or the Company's customer base and/or its image in any way. 10.3. All intellectual property rights, including copyrights, patents, trademarks, trade secrets and confidential information, in any material edited by the employee in the course of his work for the Company are the exclusive and full property of the Company. The employee will not be entitled to use the aforementioned rights and/or sell them and/or market them and/or transfer them to others and/or authorize their use except with the express prior written consent of the Company. 11. The Hours of Work and Rest Law, 5711 – 1951 11.1. The employee undertakes not to work overtime unless he has received the Company's prior written approval.
